1. Definitions and Interpretation

1.1 Definitions

The meanings of capitalized terms used in these terms of service are set out below.

Terms and meaning

Billing Page - The website billing page currently located at dip.link/billing.
Content has the meaning specified in clause 6 (a).
Data - has the meaning specified in clause 10 (a).
Data Analytics - has the meaning specified in clause 10 (b).
End User - has the meaning specified in clause 12.
Feedback - has the meaning specified in clause 11 (b).
Free plan is a plan under which you use the dip.link Service but are not required to pay for this use.
Intellectual Property Rights - All industrial and intellectual property rights worldwide, including all copyright and similar rights, all rights in inventions or discoveries (including patent rights), design, registered and unregistered trademarks ( including service marks), trade names, trademarks, indication of source or designation of origin, know-how, software, circuit diagrams and all other rights worldwide arising from intellectual activity in industrial, scientific or artistic fields.

1.2 Interpretation

Under these conditions of use:

(a) the headings are in bold for convenience only and do not affect the interpretation of these terms of service;

(b) words of any gender include the same for all genders;

(c) expression referring to an individual includes any company, partnership, joint venture, association, corporation or other legal entity and any government agency, as well as an individual;

3. Term

(a) When the free plan starts and ends:
The free plan will start when you accept these terms of service (or, if applicable, the date your paid plan will automatically convert to the free plan, as noted below) and will continue until you cancel on the checkout page.

(b) When Paid Plan starts and ends:
A paid plan will begin when you select the appropriate Paid Plan option (including whether you are using a monthly or yearly billing cycle) and when you accept these terms of service, and will continue until you cancel your Paid Plan on the billing page. Where do you cancel your Paid plan:
(1) your Paid Plan will remain in effect until the end of the current billing cycle that applies to your Paid Plan; and
(2) at the end of this billing cycle, your Paid plan will automatically convert to free.

(c) Refunds for canceled Paid Plan: however, we understand that sometimes your requirements may change. If you chose a paid plan, but then canceled it on the billing page within 72 hours of accepting these terms of service:

  1. if your Paid plan has a monthly billing cycle:
    (A) we will give you, as soon as we can, a full refund of this month's advance payments; and
    (B) your Paid plan will expire at the time of its cancellation and will automatically switch to a free plan; or
  2. if your Paid plan has an annual billing cycle:
    (A) we will provide you, as soon as we can, with a refund of an amount equivalent to the 10-month cost of the annual payments you paid in advance; and
    (B) your Paid Plan will expire at the end of the calendar month in which you canceled it and will automatically convert to the free plan.

(d) Deleting an account:
If you no longer want to use the free plan and want your account to be deleted permanently, you can do it by sending an email to [email protected]. However, you should remember that if you do this, you will not be able to reactivate your account and will not be able to receive any Content or information that you have added.

(e) We may cancel or suspend your plan:
Please note that these terms of service allow us to suspend or terminate your free or paid plan under certain circumstances (for example, see clause 16) ... In addition, if we do not receive payment for your Paid Plan in accordance with clause 8, we reserve the right to cancel your Paid Plan.

4. Changes to dip.link Terms and Conditions

8. Fees & Payments - Paid Plans

(a) Payment of fees:
You must pay us the fees that you agreed to pay for the Paid Plan.

(b) How you will be billed:
If you are using a paid plan, you will be billed in advance on a regular and periodic basis, depending on your billing cycle. Billing cycles are set on a monthly or yearly basis, depending on the type of plan you choose when choosing a paid plan.

(c) Paid plans auto-renew:
at the end of each billing cycle, your Paid plan will automatically renew in accordance with these terms of service that exist on the renewal date, unless you or we have canceled Paid plan in accordance with these terms of service.

(d) Payments must be made using accurate billing information:
A valid payment method, including a credit card, is required to process a payment under your Pay Plan. You will provide us with accurate and complete billing information including full name, address, state, zip code, and current payment method information. By submitting such billing information, you automatically authorize us to charge all fees incurred through your account from any such payment instruments.

(e) Electronic invoices instead of automatic billing:

(f) Taxes.
Unless otherwise stated, all fees include transactional taxes (eg GST / VAT). If any provision of these terms of service is invalid under the laws of any jurisdiction, then the provision is enforceable in that jurisdiction to the extent that it is not invalid, and to the extent that it is invalid, it will be excluded from these terms of service, and the remainder of these terms of service will continue to apply with such amendments as are strictly necessary to reflect the exclusion.

(c) Governing Law.
These terms of service are governed by the laws of the Russian Federation. Both you and we submit to the exclusive jurisdiction of the courts of the Russian Federation.

(d) No Waiver:
Our failure to insist or enforce any provision of these terms of service will not be construed as a waiver of any provision or right.

18. Terms of jurisdiction

Depending on your location, laws may apply to you or us. If these laws are incompatible with any part of these conditions, these laws will prevail to the extent that they exist.
